Terms of Use & End User License Agreement (EULA)

1. Acceptance of Terms

By downloading, acquiring via the Microsoft SharePoint Store / Microsoft Marketplace / AppSource, uploading to a Microsoft 365 SharePoint App Catalog, or using PPM Compass 360 ("the Application", "Software", or "Service"), you ("Customer", "Organization", or "Licensee") agree to be bound by this End User License Agreement ("EULA" or "Terms").

If you are accepting these terms on behalf of a company, corporation, or educational institution, you represent and warrant that you possess full legal authority to bind that entity to these Terms.

2. License Grants

Subject to the terms of this Agreement and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to deploy and execute the Software:

3. Customer Data Ownership & Sovereignty

You retain 100% full, exclusive ownership of all data, project information, financial records, milestones, risks, and documents stored in or processed by the Software.

Because the Software executes entirely client-side within your browser session and communicates exclusively with your SharePoint Online lists (PPM_Projects, PPM_Milestones, etc.), we claim zero intellectual property, possessory rights, or data access rights to your project portfolio content.

4. Restrictions on Use

Except as expressly permitted by applicable law, you agree not to:

• Decompile, disassemble, reverse engineer, or attempt to derive the source code of the compiled SharePoint Framework bundle (.sppkg).
• Sub-license, resell, lease, rent, redistribute, or provide the Software as a hosted service to third parties outside your licensed tenant.
• Remove, alter, or obscure any proprietary copyright or trademark notices embedded in the Software.
• Use the Software in any manner that violates applicable laws or regulations, including data protection statutes.

5. Intellectual Property

The Application, including its underlying client-side SPFx React components, scripts, stylesheets, documentation, and user interfaces, is the copyrighted property of the licensor. All rights not expressly granted to you under this Agreement are reserved.

Microsoft, SharePoint, Microsoft 365, Teams, Power Automate, and Power BI are trademarks or registered trademarks of Microsoft Corporation in the United States and/or other countries.

6. Support & Maintenance

Support services are provided according to the acquired license tier as described on our Support Page. During an active commercial license term, customers receive email support, bug fixes, and compatibility updates corresponding to new Microsoft 365 and SharePoint Framework platform releases.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF CONFIDENTIAL INFORMATION) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, OUR ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE CURRENT ANNUAL LICENSE PERIOD OR FIFTY EUROS (50.00 €).

9. Term & Termination

This Agreement is effective from the date you install or access the Software and continues until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you agree to remove the Software from your SharePoint App Catalog and pages.

10. Governing Law & Legal Inquiries

This Agreement shall be governed by and construed in accordance with the laws of the European Union / Germany, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
