PPM Compass 360 is licensed under separate terms: Terms of Use & Software License Agreement.
1. Agreement and Acceptance
These Budget Planner Free License Terms ("Terms") govern your use of the Budget Planner SharePoint Framework package, its documentation, and any updates ("Budget Planner") provided free of charge by MonVogo Ventures Inc. operating as PPM Compass ("Licensor", "we", "us", or "our").
By downloading, uploading to a SharePoint App Catalog, installing, or using Budget Planner, you ("Customer", "you", or "your") agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind it. Budget Planner is intended for business customers only and is not offered to consumers.
2. Free License
Licensor grants Customer a free, limited, non-exclusive, non-transferable, revocable license to install and use Budget Planner in Customer’s Microsoft 365 SharePoint Online environment for Customer’s internal business purposes, for as long as Licensor makes it available under the early adopter program. Customer’s affiliates, contractors, and SharePoint guest users may use it on Customer’s behalf. Budget Planner is licensed, not sold. No fees are payable and no Order is required.
Terms that also apply: The following parts of the PPM Compass Terms of Use apply to Budget Planner as well, with "Software" meaning Budget Planner: the Restrictions, Open-Source Components, and Feedback provisions of Section 2, and Sections 4 (In-Tenant Architecture), 5 (Customer Data), 6 (Data Protection), 10 (Confidentiality), 12 (Disclaimer of Certain Damages), 17 (Microsoft 365 & Third-Party Services), 18 (General Provisions), and 19 (Governing Law). If those provisions conflict with these Terms, these Terms control for Budget Planner.
3. "AS IS" Warranty Disclaimer
Budget Planner is provided "AS IS", "WITH ALL FAULTS", and "AS AVAILABLE", WITHOUT GUARANTEE OR WARRANTY OF ANY KIND, whether express, implied, statutory, or collateral. To the maximum extent permitted by law, Licensor disclaims all warranties, representations, conditions, and duties, including implied warranties or conditions of merchantable quality, merchantability, fitness for a particular purpose, precision, data accuracy, title, non-infringement, quiet enjoyment, and absence of defects or calculation errors.
4. Customer Assumes the Risks
CUSTOMER AND ITS USERS ASSUME THE RISKS arising out of, resulting from, or relating to downloading, catalog deployment, site installation, list creation, configuration, testing, operation, calculation outputs, and reliance upon Budget Planner. Customer should maintain appropriate backups.
5. Financial Calculation & Accounting Disclaimer
Budget Planner provides estimation models, financial baselines across Idea, Planning, Execution, and Closing, contingency calculations, risk reserve formulas, and S-curves. These calculations and visual charts are automated planning aids and do not constitute professional accounting, financial advisory, certified actuarial, or audit opinions. Customer is solely responsible for independently verifying all financial figures before relying upon them for capital allocations, contracts, project commitments, tax filings, or statutory financial reports. Subject to Section 8, Licensor assumes no liability for budget variances, estimation errors, calculation inaccuracies, financial losses, cost overruns, or damages of any kind.
6. No Support Commitment
Licensor provides no service-level agreement (SLA), guaranteed response time, defect correction commitment, or obligation to supply future updates or Microsoft 365 compatibility patches for Budget Planner. Any help Licensor chooses to give is provided on a goodwill basis.
7. Modification & Discontinuation
Licensor may, at its sole discretion and at any time without notice or liability, modify, update, suspend, or discontinue Budget Planner, alter features, or end the early adopter program. Licensor may also offer Budget Planner, or a later version of it, under paid terms; any such change will not apply retroactively to versions already installed.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATED TO BUDGET PLANNER, UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED FIFTY CANADIAN DOLLARS (50.00 CAD). Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct, fraud, or liabilities that cannot be excluded under applicable law.
9. Term & Termination
These Terms apply from Customer’s first download or use of Budget Planner. Customer may stop using Budget Planner and remove it at any time. Licensor may end Customer’s license on notice if Customer breaches these Terms, or by ending the early adopter program under Section 7.
Customer Data stays with Customer: removing Budget Planner or ending these Terms does not delete or transfer ownership of Customer Data; all budget records remain in Customer’s SharePoint lists under Customer’s control. Sections 3 to 8 survive termination.
